What does it really take to move a corporate transaction from an NDA to closing?

Our students at Manipal Law School, Bengaluru, recently had the opportunity to explore this question through a practitioner-led guest lecture on “The Anatomy of a Corporate Transaction: From NDA to Closing”, hosted by the Corporate Engagement & Placement Cell.

Ms. Neytra Nayak, Partner, Fox & Mandal, took students through the lifecycle of a corporate transaction, from confidentiality arrangements and term sheets to negotiations, definitive documentation, signing, and closing.

Drawing on real-world deal scenarios, Ms. Nayak offered valuable insights into how legal and commercial considerations intersect in transactional practice, and how lawyers navigate risk, negotiate protections, and help move a deal towards completion.
